These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the KodoCRM platform, website, application programming interfaces (APIs), and related software services (collectively, the "Service") operated by KodoCRM ("we", "us", or "our").
By signing up, accessing, or using our Service, you ("Customer", "User", or "you") acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you hold full authority to bind that entity.
1. Description of Service
KodoCRM provides a cloud-based Customer Relationship Management (CRM) platform designed to centralize sales pipelines, contact management, multichannel communications, workflow automations, and reporting. The Service is delivered on a Software-as-a-Service (SaaS) subscription model.
2. Account Registration and Access
- Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account.
- Credential Security: You are responsible for preserving the confidentiality of login credentials (usernames, passwords, API keys). You must promptly notify us of any security incident or unauthorized access.
- Seat Allocation: Multi-user accounts must allocate individual access credentials per authorized team member. Sharing access tokens or single accounts across multiple operators without appropriate licensing is prohibited.
3. Subscription, Billing, and Cancellations
KodoCRM is provided across various subscription tiers (monthly, quarterly, or annual plans) with optional usage add-ons.
Payment & Invoicing
Subscriptions are billed in advance on a recurring schedule. All fees are exclusive of applicable statutory taxes (VAT, GST, Sales Tax), which are added as mandated by law.
Upgrades & Downgrades
Plan upgrades and added seats apply immediately and are billed on a prorated basis. Downgrades take effect upon the commencement of the subsequent billing cycle.
Refund Policy: All subscription fees paid are non-refundable except where required by applicable consumer law. Unused seat time, mid-cycle cancellations, or voluntary platform pauses are not eligible for credits or cash refunds.
4. Customer Data and Data Privacy
You retain sole ownership of all intellectual property rights in data, contact files, communications, and notes that you import, upload, or process through KodoCRM ("Customer Data").
- Limited License: You grant KodoCRM a worldwide, limited, non-exclusive license to host, parse, cache, and transmit Customer Data solely to provide, support, and safeguard the Service.
- Data Processing: Personal data is processed in compliance with our Privacy Policy and Data Processing Addendum (DPA), aligned with standard frameworks including GDPR, CCPA, and statutory data protection laws.
- Data Retrieval: You may export your Customer Data in standard file formats anytime while your subscription is in an active state.
5. Acceptable Use Policy
You agree not to misuse or facilitate the misuse of KodoCRM. Prohibited actions include:
- ✗ Distributing unsolicited commercial email, spam, phishing, or abusive messages violating anti-spam laws (e.g., CAN-SPAM Act).
- ✗ Reverse engineering, decompiling, or attempting to discover the underlying source code of the platform or APIs.
- ✗ Bypassing API rate-limits, automated querying restrictions, or system access filters.
- ✗ Uploading malicious code, trojans, worms, or scripts intended to degrade platform integrity.
6. Intellectual Property Rights
All title, trademarks, brand identity, service documentation, graphics, software, code, and interfaces comprising KodoCRM are and remain the exclusive property of KodoCRM and its licensors. Except for the explicit subscription license granted herein, no rights, titles, or interests are conveyed to the Customer.
7. Availability and Technical Support
We use commercially reasonable efforts to deliver a minimum uptime target of 99.9% for our core operational platform, excluding announced scheduled maintenance and force majeure events. Technical customer support is provided via ticketing and helpdesk according to the parameters specified in your active plan tier.
8. Term, Cancellation, and Data Retention
This Agreement is effective upon registration and remains operative until canceled or terminated. Upon account closure or subscription non-renewal, KodoCRM maintains Customer Data for a grace period of 30 days to allow self-serve export. Following this window, data will be permanently wiped from operational databases and rotation backups according to our standard security protocols.
9. Disclaimers and Limitation of Liability
The service is provided strictly on an "AS IS" and "AS AVAILABLE" basis. KodoCRM disclaims all statutory and implied warranties, including merchantability, fitness for a specific purpose, and non-infringement.
Under no legal theory shall KodoCRM, its directors, or affiliates be liable for indirect, incidental, consequential, or punitive damages (including lost profits, lost data, or operational interruptions). KodoCRM's aggregate total liability shall not exceed the subscription fees actually paid by you during the twelve (12) month period immediately preceding the event giving rise to liability.
10. Modifications to Terms
We reserve the right to revise these Terms periodically. In case of material revisions, we will provide at least thirty (30) days' notice via registered email or in-app dashboard announcements prior to changes taking effect. Continued use of the platform after the revised date signifies binding agreement to the modifications.
